Terms and Conditions

These Terms and Conditions (“Terms”) govern the purchase and use of promotional products, branded uniforms, and workwear (“Products”) provided by WISE Promotions, including its sub-brands Wise Promo Wear and Wise Promo (“we,” “us,” or “our”). Wise Promo Wear specializes in high-quality branded uniforms and workwear, while Wise Promo focuses on a wide range of promotional products. Both brands are owned and operated by WISE Promotions. By placing an order with us, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully.
1. Orders and Acceptance
1.1 Order Placement: All orders must be submitted through our website, email, or authorized sales representatives. Orders are subject to acceptance by us, and we reserve the right to refuse or cancel any order at our sole discretion.
1.2 Order Confirmation: Orders are considered accepted only upon written confirmation from us, which may include an order acknowledgment or invoice. Any changes to an order must be agreed upon in writing.
1.3 Customization: For customized Products, you must provide accurate artwork, specifications, and approvals. Artwork must be provided in vector format (e.g., AI, EPS, or SVG), and colors in the company logo must be specified using Pantone Matching System (PMS) color codes. If you do not have artwork in vector format, we can convert it for a fee. Additionally, we can modify existing designs or create new designs for a fee, as agreed upon in advance. We are not responsible for errors in customer-provided designs, specifications, or non-compliance with these requirements.
1.4 Quote Process: Pricing is not displayed on our website as it depends on factors including, but not limited to, quantity, decoration method, decoration size, number of decoration positions, number of colors in the logo, and delivery location. To request a quote, you must add desired items to the Clipboard on our website and submit a quote request. We will provide a quote for the requested items within 24 hours. You may remove items from the Clipboard if you are no longer interested. If changes are made to the requested items or specifications, we will provide a revised quote.
1.5 Quote Approval: Your approval of a quote constitutes an agreement to purchase the Products at the quoted price and serves as a binding contract. By approving the quote, you agree to pay for the Products in full according to the payment terms specified.
2. Pricing and Payment
2.1 Pricing: Prices are as quoted in the approved quote and exclude taxes, shipping, and handling unless otherwise stated. Prices are subject to change until a quote is approved.
2.2 Payment Terms: Payment is due as specified in the invoice, typically in advance for custom orders or net 7 days for approved accounts. We accept bank transfers and credit card payments. To avoid extra charges, we prefer bank transfers. Credit card payments are processed through Stripe and will incur additional fees, which will be included in the quote or invoice.
2.3 Late Payments: Overdue amounts may incur interest at 5.5% per month or the maximum rate permitted by law. You are responsible for any collection costs, including legal fees.
2.4 Taxes: You are responsible for all applicable sales, use, or other taxes unless you provide a valid tax exemption certificate.
3. Production and Delivery
3.1 Production Time: Production begins upon receipt of payment, approval of artwork (if applicable), and approval of the final quote. Lead times are estimates and not guaranteed.
3.2 Shipping: Shipping costs are your responsibility unless otherwise agreed and will be included in the quote. Free delivery is offered for projects delivered within 20km of Blacktown and you have to mention the Free Delivery offer at the time of quote request. It is not our responsibility to check your location. For all other locations, shipping costs apply. Risk of loss transfers to you upon delivery to the carrier. We are not liable for delays caused by carriers or unforeseen circumstances.
3.3 Breakable Items: For breakable items such as branded mugs and glasses, we take special care in packaging and delivery to minimize the risk of breakages. However, breakages may occur during transit due to factors beyond our control, such as courier handling. We are not responsible for breakages caused by couriers. If an exact number of items is required, we recommend ordering 10% extra items to account for potential breakages.
3.4 Delivery Discrepancies: You must inspect Products upon receipt and notify us of any discrepancies (e.g., incorrect quantity, defects) within 7 days. Failure to do so waives your right to claim such discrepancies.
4. Returns and Refunds
4.1 Custom Products: Due to their personalized nature, custom Products are non-returnable and non-refundable unless defective or not as ordered.
4.2 Stock Products: Returns of non-custom Products may be accepted within 14 days, subject to a restocking fee of 20%. Products must be unused, in original packaging, and in resalable condition.
4.3 Defective Products: If a Product is defective, you must notify us within 7 days of receipt. We will, at our discretion, replace the Product or issue a refund or credit.
4.4 Return Process: Contact us for a Return Merchandise Authorization (RMA) number before returning any Products. Unauthorized returns will not be accepted.
5. Intellectual Property
5.1 Customer Artwork: You represent and warrant that any logos, designs, or artwork provided by you do not infringe on third-party intellectual property rights. You indemnify us against any claims arising from such infringement.
5.2 Our Designs: Any designs or artwork created by us remain our property unless otherwise agreed in writing.
5.3 License: By submitting artwork, you grant us a non-exclusive license to use it for producing your order.
6. Warranties and Liability
6.1 Limited Warranty: We warrant that Products will conform to the agreed specifications and be free from material defects at the time of delivery. This warranty does not cover damage due to misuse, improper storage, normal wear and tear, or breakages of fragile items during transit.
6.2 Disclaimer: Except as stated, we disclaim all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
6.3 Limitation of Liability: Our liability is limited to the order value. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
7. Force Majeure
7.1 We are not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, labor disputes, or supply chain disruptions.
8. Termination
8.1 We may terminate any order or agreement if you breach these Terms, fail to make payment, or become insolvent. Upon termination, you remain liable for all amounts due.
9. Governing Law and Dispute Resolution
9.1 Disputes: Any disputes arising from these Terms will be resolved through negotiation. If unresolved, disputes will be submitted to APPA .
10. Miscellaneous
10.1 Entire Agreement: These Terms constitute the entire agreement between you and us, superseding any prior agreements or understandings.
10.2 Amendments: We may update these Terms at any time. The version in effect at the time of your quote approval applies.
10.3 Severability: If any provision of these Terms is found invalid, the remaining provisions remain enforceable.

11. Samples
11.1 Sample Policy: Free samples are available upon request. Samples are provided at the cost of the blank product plus applicable freight fees. If you place an order for the same product as the sample provided, the cost of the sample (excluding freight fees) will be deducted from the total cost of the project. Freight fees for samples are non-refundable.
By requesting a quote or approving a quote with WISE Promotions, Wise Promo Wear, or Wise Promo, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
